Code of conduct for suppliers, service providers and production partners

Working together for a sustainable future

Preamble

Hama is a global company active in the development, manufacture and sale of accessories for photography, audio, video, computers, telecommunications and products for the home, office, school and leisure.

As a company, Hama bears responsibility for people, society, the economy and the environment, with sustainable and cooperative thinking guiding our business activities. Cooperation with suppliers, service providers and production partners (hereinafter referred to as "partners") is characterised by respect, appreciation, transparency and reliability as well as ethical and legally compliant behaviour.

This code of conduct was drawn up on the basis of internationally recognised principles and conventions. These standards include the ten principles of the United Nations Global Compact Initiative, the International Bill of Human Rights and the International Labour Organisation's (ILO) Declaration on Fundamental Principles and Rights at Work. The code also takes into account sustainability principles that Hama has established in internal guidelines.

This code forms the basis for any co-operation with Hama. Partners are obliged to comply with the requirements of this code of conduct, all applicable laws and regulations and contractual obligations. Appropriate monitoring mechanisms must be set up and violations rectified. In addition, all parties along the supply chain must be involved and contractually obliged to implement the regulations and expectations set out in this document. Hama expects supportive behaviour in the disclosure of product supply chains.

Violations of this code of conduct may lead to restrictions or even termination of the business relationship.

Hama reserves the right to audit the production facilities of partners at the beginning and in the course of the business relationship by personnel authorised by Hama after mutual agreement and to check the production facilities for social and ecological aspects as well as the quality of the products.

In addition, Hama has set up a whistleblower system that offers everyone in the value chain the opportunity to report human rights violations anonymously. The information can be submitted via the Hama Group website.

Ethical principles

Fair competition

Honesty, integrity and justice must determine the economic behaviour of partners. The standards of fair competition, national and international trade regulations and the rules of antitrust law must be observed and complied with. It is prohibited to enter into agreements or comparable activities with competitors in order to influence prices or conditions.

Intellectual property

The industrial property rights and intellectual property rights of third parties must be respected by partners in all cases in which they manufacture products for Hama or in which they provide services for Hama.

Integrity

All business activities of the partners must be based on a prohibition of corruption, extortion, embezzlement, misappropriation and money laundering, which does not tolerate such offences. No bribes or other unlawful payments may be offered or accepted in business dealings with partners or public officials.

Confidentiality and data protection

Hama's confidential data and information must be appropriately managed by partners and protected against unauthorised access, use, disclosure, modification or destruction.

Personal information may only be collected in accordance with data protection regulations and only for business purposes, used in a legal and secure manner and only passed on to authorised persons. It may only be stored for as long as necessary.

Property rights

Partners must observe and comply with Hama's statutory industrial property rights and the industrial property rights of third parties. If necessary, there is an obligation to conclude corresponding licence agreements. The aforementioned property rights include, in particular, trademark rights, design rights, patent rights and copyrights.

Social principles

Child labour

Child labour within the supply chain is prohibited. The ban applies to all types of child labour in accordance with the ILO conventions. If regional regulations stipulate higher age limits, these must be observed. The protection of children also extends to activities that may impair their physical, mental, moral and social development.

Forced labour

Everyone's labour must be voluntary. All forms of forced labour and all illegal forms of employment are prohibited. The identity of each individual must be preserved. Employees must not be forced to hand in their identity documents to their employer.

Discrimination

Discrimination of any kind is prohibited. Equal treatment and equal opportunities must be guaranteed for all employees regardless of race, skin colour, gender, disability, creed, political opinion, nationality, social background, culture, age, pregnancy or sexual orientation.

Freedom of association

The statutory right of employees to form and join organisations of their choice and to engage in collective bargaining must not be restricted in any way. Partners may not disadvantage or discriminate against employees who act as employee representatives. Constructive communication must be maintained with all employees and employee representatives.

Occupational health and safety

A safe and hygienic working environment must be ensured in compliance with all necessary health and safety regulations. Risks in the workplace must be eliminated as far as possible, or at least minimised by means of suitable technical protective measures and appropriate maintenance in order to prevent accidents and illnesses. Staff must be systematically trained in potential hazards.

Product safety regulations must always be complied with. Partners must ensure that their products are properly labelled and communicate transparently about relevant health, safety and environmental aspects.

Working conditions and remuneration

Working conditions must be humane. Physical abuse or the threat thereof, degrading or unjust punishments, corporal punishment, sexual or other harassment and intimidation are strictly prohibited.

Wages and other benefits must at least correspond to the statutory minimum limits or higher values customary in the country or industry. Wages and other benefits must be paid regularly and punctually directly to employees. Working hours must comply with applicable law. Overtime must be remunerated separately and may not exceed the maximum permissible hourly limits.

Dealing with conflict minerals

All partners are requested and obliged not to supply any products to Hama that are manufactured using raw materials from conflict or high-risk areas and that may have caused or favoured human rights violations. In this context, we expressly refer to the Dodd-Frank Act and the European Union's Conflict Minerals Regulation. Should a partner become aware that conflict minerals are contained in products supplied to Hama, he must inform Hama immediately in writing. The notification must name the conflict raw material, including the country of origin and information on the refinery, smelter or smelting plant processing it.

Ecological principles

Climate protection

Hama requires all partners to prioritise climate protection. The impact of climate change on the company and its value chains as well as the associated risks must be assessed and suitable measures to combat climate change must be implemented. All partners are encouraged to identify cost-effective solutions to improve their energy efficiency, reduce their energy consumption and minimise their carbon footprint. Partners are required to report product-related carbon footprint information to enable Hama to calculate indirect greenhouse gas emissions from the upstream supply chain.

Resource protection

All partners are expected to prevent the exploitation and destruction of natural resources such as soil, forests, water, raw materials, etc. They must prevent their business activities from having such an impact on natural resources that the health of people is damaged, that they no longer have access to unpolluted drinking water or that the production of food is significantly impaired.

Water protection

The partners must make reasonable efforts to reduce water consumption in their operational processes. When utilising water and discharging wastewater, negative effects on the environment must be avoided as far as possible. Areas where water is scarce or is under threat must be given special protection.

Waste

Waste must be disposed of in a legally compliant and environmentally friendly manner and a sustainable circular economy must be strived for. The partners ensure that the handling of waste from their operational processes complies with official regulations and the requirements for cross-border transport or trade.

Unlawful expropriation/forced eviction

All partners shall ensure that their business activities do not contribute to the unlawful displacement of people or the taking of land or resources for acquisition, development or other purposes.

Handling hazardous substances

All relevant regulations and protective provisions must be applied when handling, storing and disposing of chemicals and other hazardous substances. Partners must provide their employees with appropriate behavioural information. They must also receive appropriate training on hazards and correct behaviour when handling hazardous substances.
